Terms of Service

1. Acceptance of Terms

By accessing or using FlipStaff ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all visitors, applicants, approved VAs, and operators.

2. Platform Description

FlipStaff is a hiring and staffing marketplace that connects e-commerce operators and resellers with vetted virtual assistants. We provide application processing, a public VA directory, and onboarding training resources. FlipStaff is a facilitator — we are not a party to any employment or contractor agreement between operators and VAs.

3. VA Applicants

• You must provide accurate and complete information in your application.
• Submitting false information will result in immediate removal from the platform.
• Approval to the directory is at FlipStaff's sole discretion.
• Approved VAs may have their profile removed at any time for violation of these terms or conduct unbecoming of a FlipStaff-represented professional.
• You are responsible for maintaining the accuracy of your profile information.

4. Operators

• Operator applications are subject to review and approval.
• Operators agree to treat VAs professionally and in accordance with any agreed terms of engagement.
• FlipStaff is not responsible for the conduct of operators or VAs after a match is made.
• Any disputes between operators and VAs are between those parties directly.

5. Prohibited Conduct

You agree not to:

• Submit fraudulent, misleading, or plagiarized application content
• Attempt to circumvent the application or vetting process
• Scrape, harvest, or copy VA or operator data from the directory
• Use the platform for spam, solicitation, or off-platform recruitment without consent
• Interfere with the security or integrity of the platform

6. Intellectual Property

All content on the FlipStaff platform — including training curriculum, branding, and site design — is owned by FlipStaff. You may not reproduce or distribute it without written permission. Training materials are provided for the personal use of enrolled VAs only.

7. Disclaimers

The Platform is provided "as is." FlipStaff does not guarantee employment, client matching, income, or specific training outcomes. We make no warranties regarding the accuracy of VA or operator information submitted by third parties.

8. Limitation of Liability

To the fullest extent permitted by law, FlipStaff shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to lost income, failed engagements, or data loss.

9. Termination

We reserve the right to suspend or terminate any account or profile at our discretion, with or without notice, for violation of these terms or any other conduct we deem harmful to the platform or its users.

10. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the applicable courts, with both parties waiving the right to a jury trial.

11. Changes to These Terms

We may update these terms at any time. Continued use of the Platform after changes are posted constitutes acceptance. We will notify registered users of material changes by email.
